SPONSOR. The Sponsor of this Sweepstakes is VPC Pizza Management, LLC (“Sponsor”), 60 East Superior Street, Suite 300, Chicago, IL 60611. Sponsor is free in its discretion to make use of others who might participate in administering, operating or fulfilling the Sweepstakes, including assistance with prize selection, technology, tabulation, data services, fulfillment tasks, supplying or contributing to a prize, promotion or advertising, or otherwise generating interest in the Sweepstakes (“Promotion Supporters”). The Sweepstakes is in no way sponsored, endorsed, or administered by, or associated with Facebook or Instagram. You understand that you are providing your information to Sponsor and Promotion Supporters and not Facebook or Instagram.

ELIGIBILITY. Subject to the other requirements set forth in these Official Rules, the Sweepstakes (“Sweepstakes”) is open only to legal residents of the continental United States or the District of Columbia age 18 or older. Employees of Sponsor, Promotion Supporters, or any of their direct or indirect affiliate companies, and their immediate family members (including spouse, parents, children, siblings, and their respective spouses) and household members are not eligible to participate. Any Sweepstakes entries received from ineligible participants will be disqualified. VOID WHERE PROHIBITED.

SWEEPSTAKES PERIOD. The Sweepstakes entry period starts on October 1, 2024, at 12 am Eastern Time (ET) and ends on October 6, 2024, at 11:59 pm ET (the “Sweepstakes Period”). Sponsor’s computer systems are the official time-keeping device for this Sweepstakes. All Entries must be received and recorded by Sponsor during the Sweepstakes Period and must otherwise satisfy the requirements in these Official Rules, to be eligible to win.

HOW TO ENTER. During the Sweepstakes Period, eligible participants may enter in one of two ways: Option #1: Go to https://ship.giordanos.com/ and place an order for pizzas using the code “YEAR” at checkout. Any pizza pack size (2, 3, 4, 6, or single-serve) is eligible for entry. Option #2: Enter by submitting the online form available at https://ship.giordanos.com/giveaway

Sponsor and Promotion Supporters are not responsible for late, returned, misaddressed, unsent, inaccurate, unreadable, duplicative, auto-generated, or incomplete Entries, regardless of cause, including without limitation, due to human, computer, or technical error or methods, act of God, pandemic or force majeure, whether caused by the participant, any courier or delivery service, or by any of the equipment, devices, software, mobile application or programming associated with or utilized in this Sweepstakes, or by any technical, computer, systems, network, or human error that may occur, including without limitation, in the submission or transmittal of any Entry or the processing of any function on a participant’s computer system or device. Participant must notify Sponsor of any changed contact information within the Sweepstakes Period to remain eligible to win based on Entry. Any disputes regarding eligibility, residency, entry methods, Entry content, and ownership of an e-mail account will be determined by Sponsor in its sole discretion. Sponsor reserves the right, in its sole discretion, to disqualify any individual suspected or found to be: tampering with the entry process, Entries, mobile devices, computers, tabulation systems, or the operation of Sponsor’s website or of the Sweepstakes; acting in violation of these Official Rules or applicable laws or regulations; or acting with intent to annoy, abuse, threaten or harass any person or entity. Any use of AI technologies or of robotic, automatic, programmed, fraudulent or duplicative entry methods is strictly prohibited. Any such Entries will be void and the responsible participants disqualified. All determinations shall be in Sponsor’s sole discretion and are final and binding.

PRIZES. One (1) Prize consisting of twelve (12) free shipments of Giordano’s 2-Pizza Pack (one per month in 2025). Approximate retail value (ARV) of Prize: $1020 USD. Total ARV of all Prizes: $1020 USD. No transfer, assignment, cash redemption, or substitution of any Prize is permitted, except by Sponsor due to Prize availability and then with a Prize of equal or greater value. [If winner lives in an area you cannot ship to via FedEx ground, will you cover any extra shipping charges?] Determination of the Prize to be awarded, and the timing, delivery, and awarding of same, will be in Sponsor’s sole discretion. All of Sponsor’s decisions shall be final and binding.

ODDS OF WINNING. The chances of winning a Prize will depend on the number of eligible Entries received during the Sweepstakes Period.

WINNER SELECTION AND NOTIFICATION. Winners will be selected in a random drawing on or about October 11, 2024, from among all eligible Entries received during the Sweepstakes Period. Once the potential winner is identified, Sponsor will notify them via the email address provided in the Entry, within approximately 48 hours from the time the potential winner is selected.

The potential winner must respond to Sponsor or its designee within five (5) business days of being notified or the Prize may be forfeited, and another Sweepstakes participant chosen. The winner must satisfactorily complete Sponsor’s affidavit of eligibility showing compliance with these Official Rules. The winner must also sign Sponsor’s liability and publicity release, allowing Sponsor and Promotion Supporters to use winner’s name, likeness, and other biographical information for advertising, marketing, and other purposes. Winner must also provide Sponsor with a valid address for deliveries of the pizza. Failure to complete and timely return these forms and to provide Sponsor the requested information may result in disqualification and forfeiture of the Prize. If a potential winner is disqualified for any reason, Sponsor may select an alternate potential winner by random drawing from among all remaining eligible Entries. If Sponsor determines, in its sole discretion, that no eligible Entries, or an insufficient number of eligible Entries, have been received, Sponsor reserves the right not to award the Prize.

Without limitation of any other affidavit or release given by a participant, participants consent to the use of their Entry, name, voice, photograph, likeness, and biographical information by Sponsor and Promotion Supporters, including for public relations, advertising, and promotional purposes, in perpetuity, worldwide, in all media now known or later devised or discovered, and without notice or compensation of any kind.

Winner is solely responsible for all applicable federal, state, and local taxes and any fees and expenses associated with acceptance of the Prize. Winner should consult a qualified tax advisor for proper tax treatment of the same. Once Sponsor or its agents delivers the monthly pizza delivery to the winner, Sponsor and its agents shall have no further responsibility or liability with respect to that delivery.

GENERAL. All federal, state, provincial, and local laws and regulations apply. By participating in this Sweepstakes, participants accept and agree to be bound by these Official Rules and Sponsor’s decisions, which are final and binding in all respects. Winning a Prize is contingent on fulfilling all requirements in these Official Rules. Sponsor reserves the right to modify the rules of the Sweepstakes in any way at any time, subject to applicable laws.

Sponsor and Promotion Supporters reserve the right, in their sole discretion, to modify, terminate, or suspend this Sweepstakes for any reason, including without limitation, should viruses, bugs, tampering, fraud, unauthorized intervention or other causes beyond their control corrupt or impair the administration, security, integrity, proper conduct or fairness of the Sweepstakes. Sponsor and Promotion Supporters are not responsible for any human, workforce, vendor, delivery service, systems, computer, or technological error that may occur in the execution and promotion of the Sweepstakes, the processing or handling of Entries, and/or the fulfillment or delivery of the Prize, including without limitation, transport or delivery delays due to strike, weather, transit availability, pandemic, war, conflict, act of God, or other conditions. Sponsor and Promotion Supporters are not responsible for any problem, error, omission, defect, delay, unauthorized transmission, theft, destruction, unauthorized access to, or technical malfunction of any telephone network or lines, computer online systems, servers or provider, computer equipment, mobile app, website, software, failure of any e-mail, submission or Entry to be received by Sponsor due to technical problem or traffic, congestion on the internet or at any website, or any combination thereof, including any damage to participants’ devices, related to or resulting from participation in this Sweepstakes. ANY ATTEMPT TO DELIBERATELY DAMAGE OR INTERFERE WITH ANY WEBSITE, MOBILE APP, OR USE OF ANY MEANS, ALGORITHM, PROGRAM, AI TECHNOLOGIES, OR PROCESS TO INTERFERE WITH OR UNDERMINE THE LEGITIMATE AND LAWFUL OPERATION OF THIS SWEEPSTAKES, IS A VIOLATION OF CRIMINAL AND CIVIL LAWS. SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES FROM ANY RESPONSIBLE PARTIES TO THE FULLEST EXTENT PERMITTED BY LAW.

THE SWEEPSTAKES AND PRIZE ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, AND SPONSOR AND PROMOTION SUPPORTERS HEREBY EXPRESSLY DISCLAIM ALL REPRESENTATIONS AND WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING, WITHOUT LIMITATION, WARRANTIES OF TITLE, NON-INFRINGEMENT, MERCHANTABILITY, ACCURACY, COMPLETENESS, OR FITNESS FOR A PARTICULAR PURPOSE. WITHOUT LIMITING THE FOREGOING, SPONSOR AND PROMOTION SUPPORTERS DO NOT GUARANTEE, WARRANT OR REPRESENT THAT THE SWEEPSTAKES OR PRIZE WILL BE AVAILABLE OR FREE OF DEFECTS OF ANY KIND OR THAT ANY DEFECTS WILL BE CORRECTED.

PARTICIPANTs Are solely responsible for their own actions relating to this Sweepstakes and the acceptance, POSSESSION, TRANSPORT, DELIVERY, HANDLING, PACKAGING, STORAGE, USE, CONSUMPTION, OR MISUSE Of A Prize BY WINNER OR ANY OTHER PERSON. all PARTICIPANTS agree to release and hold harmless Sponsor AND Promotion Supporters, Facebook, INSTAGRAM, AND their parent companies, affiliates, subsidiaries, AGENTS, retailers, agencies, and their respective officers, directors, employees and agents, from and against any liability arising FROM PARTICIPATION IN the Sweepstakes AND FROM AND AGAINST ANY LIABILITY ARISING FROM ACCEPTANCE, POSSESSION, TRANSPORT, DELIVERY, HANDLING, PACKAGING, STORAGE, USE, CONSUMPTION, OR MISUSE Of A Prize, INCLUDING WITHOUT LIMITATION, ANY CLAIM OF INJURY, DAMAGE, DEATH, DISABILITY, LOSS OR LIABILITY TO ANY PERSON OR PROPERTY. ONCE THE PRIZE HAS BEEN DELIVERED EACH MONTH, PARTICIPANTS UNDERSTAND THAT THERE CAN BE NO CLAIMS FOR LIABILITY OF ANY KIND AGAINST SPONSOR AND PROMOTION SUPPORTERS.

PRIVACY. Any personal information submitted by participants will be treated in accordance with Sponsor’s Privacy Policy. By participating in the Sweepstakes, and without limitation of any other affidavit or release given by a participant, each participant acknowledges that Sponsor and Promotion Supporters shall have the right to use participants’ personal information, which may include, their Entry, name, voice, photograph, likeness, and biographical information, for marketing and other purposes.

GOVERNING LAW AND DISPUTE RESOLUTION. Except where prohibited, each participant agrees that: (a) all issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of participants and Sponsor and Promotion Supporters shall be governed by and construed exclusively in accordance with the laws of the State of Illinois, without giving effect to any principles of conflicts of law of any jurisdiction; (b) any and all disputes, claims and causes of action at law or in equity arising out of or relating to this Sweepstakes or any Prize awarded shall be (i) resolved individually, without resort to any form of class action; and (ii) filed only in the federal or state courts situated in Chicago, Illinois and participant hereby consents and submits to the personal jurisdiction of such courts for the purposes of litigating any such disputes, claims or causes of action; (c) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, and in no event shall include attorneys' fees; and (d) under no circumstances will any participant or winner be permitted to obtain awards for, and hereby waives all rights to claim, punitive, incidental, special, consequential damages and any other damages, other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased.

SEVERABILITY AND NO WAIVER. If a court of competent jurisdiction determines any provision of these Official Rules or any portion thereof to be unenforceable, such provision will be enforced to the maximum extent permissible, to give the intended effect thereof, and the remainder of these Official Rules will continue in full force and effect. Any failure by Sponsor or Promotion Partners to act with respect to a violation of these Official Rules does not waive its right to act with respect to that violation or subsequent or similar violations.
